Here's a little more on the Equity Compensation Masterclass. It is designed to help financial advisors build a practical, planning-focused understanding of equity compensation across both public and private companies. The program emphasizes taxation, planning strategies, and real-world considerations advisors face when working with clients who receive stock-based compensation.
Session 1: Foundations of Equity Compensation
An overview of common equity awards and key planning considerations, including restricted stock, RSUs, performance shares, and tax-qualified ESPPs. This session also covers critical documents and information advisors need to guide clients effectively.
Session 2: Stock Options Explained
A focused review of Incentive Stock Options (ISOs) and Nonqualified Stock Options (NQSOs), including how they differ from restricted stock, their key features, and their tax treatment.
Session 3: Strategy, Timing, and Life Events
Practical planning strategies around option grants and exercises, tax reporting considerations, and the impact of major life and employment events such as termination, retirement, and change of control.
Session 4: Private Companies and Advanced Planning
A look at equity compensation in private companies, including liquidity and valuation challenges, early exercise and Section 83(b) elections, QSBS considerations, and additional equity structures such as SARs, phantom stock, profits interests, and NUA strategies.
